Samoa – General Reminder for compliance in daily administration

Being a general reminder on housekeeping of your Samoa company compliant with the relevant regulations in Samoa, please take actions to the following matters:

  1. Prepare financial statements for every financial year (ready for random inspections of the Samoa government)
  2. (Penalty Note: Non-compliance of maintaining accounting records and preparing financial statements is an offence, the company is liable to a fine not exceeding 100 penalty units, approx. USD3,700.)

  3. Notify Sertus any change to the ultimate ownership of your company as soon as you are aware of the change with an up-to-date structure chart as supporting in order to comply with the anti-money
    laundering regulations;
  4. Notify Sertus any change of the particulars of the directors, secretary, shareholders and UBO (e.g. renewed passport, new residential address, change of entity name, etc.) of your company as soon as you are aware of the change in order to keep up-to-date statutory records in place at the registered office; and
  5. Notify Sertus any change of the nature of activities of your company.

We, being a regulated entity, reserve the right to terminate our services if any non-compliance of the clients or, due to clients’ non-response, we fail to comply with the relevant regulations.
